Terms of Service

These Terms of Service govern access to and use of the NexaChain website, NexaChain Merchant application, NexaChain Buyer application, payment-request tools, and related services.

1. Acceptance of These Terms

By accessing or using NexaChain, you confirm that you have read, understood, and agreed to these Terms of Service and the NexaChain Privacy Policy.

If you do not agree to these Terms, you must not access or use the platform.

Where you use NexaChain on behalf of a business or organization, you represent that you have authority to bind that business or organization to these Terms.

2. About NexaChain

NexaChain provides non-custodial software that enables merchants to create structured digital-asset payment requests and enables buyers to review and authorize payments through self-custodied wallets.

NexaChain provides payment-request, interface, synchronization, and transaction-preparation functionality. Blockchain validation and settlement are performed by the applicable blockchain network.

NexaChain does not take custody of user funds.

Users retain control of their wallets, private keys, digital assets, and transaction authorization.

3. Eligibility

You may use NexaChain only if:

  • You have the legal capacity to enter into a binding agreement.
  • Your use of digital assets and blockchain-payment services is lawful in your location.
  • You are not prohibited from using the platform under applicable laws, sanctions, court orders, or regulatory restrictions.
  • You comply with any minimum-age requirements applicable in your jurisdiction.

You are responsible for determining whether your use of NexaChain is lawful in the jurisdiction where you reside, operate, or conduct business.

4. Account Registration

Certain NexaChain features may require creation of an account. You agree to provide accurate, complete, and current information and to keep that information updated.

You are responsible for:

  • Maintaining the security of your login credentials.
  • Restricting unauthorized access to your device.
  • All activity occurring through your account.
  • Promptly notifying NexaChain of suspected unauthorized access.

NexaChain may restrict or suspend access where account activity appears fraudulent, unlawful, abusive, or materially inconsistent with these Terms.

5. Non-Custodial Wallet Model

Wallets used with NexaChain are self-custodied and remain under the control of their respective users.

NexaChain does not:

  • Hold or safeguard customer funds.
  • Maintain custodial customer balances.
  • Store recoverable copies of user private keys.
  • Authorize transactions on behalf of users.
  • Reverse confirmed blockchain transactions.
  • Freeze user-controlled wallets or assets.
  • Recover inaccessible wallets or lost credentials.

You are solely responsible for safeguarding your device, wallet, private keys, recovery information, passwords, and other credentials associated with your digital assets.

6. Merchant Responsibilities

Merchants using NexaChain are responsible for:

  • Providing accurate descriptions and prices for goods or services.
  • Confirming that payment requests contain the correct wallet address, asset, network, and amount.
  • Complying with consumer-protection, tax, licensing, sanctions, and other applicable legal obligations.
  • Delivering the goods or services associated with each payment.
  • Managing refunds, disputes, cancellations, and customer communications.
  • Confirming blockchain settlement before treating a payment as complete.
  • Maintaining the security of merchant accounts and devices.

NexaChain is not a party to the underlying sale, service, agreement, or commercial relationship between a merchant and a buyer.

7. Buyer Responsibilities

Buyers using NexaChain are responsible for:

  • Reviewing merchant information before payment.
  • Reviewing the item description, item price, software usage fee, total amount, supported asset, and blockchain network.
  • Confirming that the payment details are accurate before authorization.
  • Maintaining sufficient supported assets and BNB for fees.
  • Protecting wallets, credentials, and devices.
  • Resolving disputes concerning goods or services directly with the merchant.

Once a blockchain transaction is confirmed, it may be irreversible and NexaChain may be unable to cancel, alter, or recover it.

8. Payment Requests and Authorization

A payment request contains information supplied or selected by a merchant. Buyers must independently review that information before authorizing a transaction.

No blockchain transaction should be treated as authorized merely because a payment request has been created, scanned, opened, or displayed. Authorization occurs only when the buyer actively approves and signs the relevant transaction through their wallet.

NexaChain may display application-level payment status, but the blockchain record remains the authoritative source for transaction confirmation and settlement.

9. Fees

9.1 Merchant item price

The merchant determines the listed price of its goods or services. Following successful settlement, the merchant is intended to receive the full listed item price.

9.2 NexaChain software usage fee

NexaChain may charge a software usage fee that is displayed to the buyer before transaction authorization.

The current payment model may apply a 2% software usage fee in addition to the merchant item price. The fee shown on the payment confirmation screen at the time of authorization governs that transaction.

9.3 Blockchain network fees

Blockchain transactions require network fees determined by the blockchain network. These fees are separate from the NexaChain software usage fee.

NexaChain does not determine, receive, control, or guarantee blockchain network fees.

9.4 Fee changes

NexaChain may modify its software usage fee for future transactions. Any applicable fee will be displayed before user authorization.

10. Refunds and Commercial Disputes

NexaChain does not control the underlying sale between buyers and merchants and does not automatically issue refunds.

Requests concerning defective goods, non-delivery, service quality, cancellations, returns, warranties, or refunds must generally be addressed directly between the buyer and merchant.

A merchant may choose to send a separate blockchain transaction as a refund. Any such refund may require additional network fees and is the responsibility of the merchant.

NexaChain cannot reverse or alter a transaction already confirmed by the blockchain network.

11. Prohibited Uses

You must not use NexaChain to:

  • Violate any applicable law or regulation.
  • Commit fraud, deception, theft, or money laundering.
  • Evade sanctions, restrictions, taxes, or legal obligations.
  • Sell or purchase unlawful, restricted, counterfeit, stolen, or prohibited goods or services.
  • Create misleading, inaccurate, fraudulent, or unauthorized payment requests.
  • Interfere with, disrupt, damage, or gain unauthorized access to NexaChain systems.
  • Upload malware, exploit vulnerabilities, scrape protected systems, or perform denial-of-service activity.
  • Impersonate another person, merchant, business, or organization.
  • Infringe intellectual-property, privacy, or other legal rights.
  • Use the platform in connection with alcohol, swine-related products, or other categories blocked by NexaChain platform rules.

NexaChain may remove content or restrict platform access where reasonably necessary to address prohibited activity, security concerns, or legal obligations.

12. Supported Assets and Networks

NexaChain currently supports selected assets on BNB Smart Chain, including USDT, USDC, and BNB.

Support for any asset or blockchain network may be added, changed, restricted, or discontinued.

Users must verify that they are using the correct blockchain network and supported asset. Sending assets through an incorrect or unsupported network may result in permanent loss.

13. Blockchain and Digital-Asset Risks

By using NexaChain, you acknowledge risks associated with blockchain networks and digital assets, including:

  • Irreversible or incorrectly addressed transactions.
  • Loss or compromise of wallet credentials.
  • Network congestion, delays, outages, or failed transactions.
  • Variable blockchain network fees.
  • Smart-contract, token, RPC, or infrastructure failures.
  • Stablecoins losing value, liquidity, availability, or intended price stability.
  • Changes in blockchain protocols, validators, forks, or network rules.
  • Legal or regulatory changes affecting digital assets.
  • Third-party fraud, phishing, impersonation, or malicious QR codes.

You assume responsibility for evaluating whether blockchain-based payments are suitable for your circumstances.

14. Third-Party Services

NexaChain may depend upon third-party services such as Google Firebase, Google Play, blockchain RPC providers, blockchain explorers, hosting providers, stablecoin issuers, and BNB Smart Chain.

Third-party services are governed by their own terms and policies. NexaChain does not control and is not responsible for their availability, performance, security, content, or decisions.

15. Intellectual Property

NexaChain, its software, website, interfaces, branding, documentation, graphics, and related materials are owned by or licensed to BioProtocol, except where otherwise stated.

Subject to these Terms, NexaChain grants you a limited, revocable, non-exclusive, non-transferable license to access and use the platform for its intended purpose.

You must not, except where permitted by law:

  • Copy or redistribute proprietary platform materials.
  • Remove copyright, trademark, or ownership notices.
  • Reverse engineer, decompile, or attempt to extract protected source code.
  • Use NexaChain branding in a way that implies unauthorized endorsement or affiliation.

16. Platform Availability and Changes

NexaChain may update, modify, suspend, restrict, or discontinue any feature of the platform.

NexaChain does not guarantee uninterrupted, error-free, permanently available, or completely secure operation.

Maintenance, blockchain conditions, internet connectivity, software defects, third-party failures, or circumstances outside NexaChain's control may affect service availability.

17. Suspension and Termination

NexaChain may suspend or terminate access to platform-controlled services where reasonably necessary because of:

  • A material breach of these Terms.
  • Fraudulent, unlawful, or abusive activity.
  • Security threats or attempted unauthorized access.
  • Legal or regulatory requirements.
  • Risk to users, NexaChain, or third parties.

Because user wallets are non-custodial, suspension of platform-controlled services does not give NexaChain control over a user's independently controlled blockchain assets.

18. Disclaimers

To the maximum extent permitted by applicable law, NexaChain is provided on an “as is” and “as available” basis.

NexaChain does not warrant that the platform will be uninterrupted, error-free, secure, accurate, or suitable for every purpose.

NexaChain does not provide legal, financial, investment, tax, accounting, custody, banking, brokerage, or fiduciary advice.

Information provided through NexaChain or its white paper is general and informational. Users should obtain independent professional advice where appropriate.

19. Limitation of Liability

To the maximum extent permitted by applicable law, BioProtocol and its owners, directors, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes loss arising from inaccessible wallets, lost keys, incorrect addresses, blockchain failures, asset volatility, network fees, third-party services, merchant disputes, fraudulent payment requests, security incidents, or service interruption.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless BioProtocol and its affiliates, personnel, and service providers from claims, losses, liabilities, damages, and reasonable expenses arising from:

  • Your misuse of NexaChain.
  • Your violation of these Terms.
  • Your violation of applicable law.
  • Your infringement of another party's rights.
  • Goods, services, payment requests, or commercial activity for which you are responsible.

21. Governing Law and Disputes

These Terms are governed by the laws applicable to the responsible NexaChain entity, without regard to conflict-of-law principles, unless mandatory law requires otherwise.

Before commencing formal proceedings, the parties should attempt in good faith to resolve disputes by contacting:

Governing jurisdiction requires confirmation.

Replace the governing-law wording above once the legal entity and operating jurisdiction for NexaChain have been formally confirmed.

22. Changes to These Terms

NexaChain may update these Terms as the platform, technology, fee model, supported assets, business structure, or applicable requirements evolve.

Updated Terms will be posted on this page with a revised effective date. Continued use after updated Terms take effect constitutes acceptance where permitted by law.

23. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

Failure to enforce a provision does not waive the right to enforce it later.

You may not assign your rights or obligations under these Terms without prior written consent. NexaChain may assign these Terms in connection with a business restructuring, financing, merger, acquisition, or transfer of assets.

These Terms, together with the Privacy Policy and any applicable in-app disclosures, constitute the agreement governing your use of NexaChain.
